Terms of service

These terms cover your use of winful: the website at winful.app, the product at app.winful.app and everything the machine does for you. They are written to be read. If your signed contract says something different, the contract wins.

The company behind winful is called winful. Its registered address will be listed here, and in your contract, once registration is complete.

Who these terms are between

These terms are between winful.app (winful, we, us) and the company that uses winful (you). The person who accepts them confirms they are allowed to bind that company.

winful is for businesses. It is not offered to consumers, and you may not use it for personal or household purposes.

What winful does

winful runs paid media for you. You set a monthly budget and a CAC goal. Your customers film videos through pages we host for you. The machine writes scripts, cuts variations, launches and changes campaigns on Meta, measures new customers against your baseline and learns from the results.

The machine acts within the setting you choose: it proposes changes and waits for your approval, or it makes them itself inside your budget and goal. You can pause it from the product at any time.

Your accounts and access

To do the work, you connect accounts you control: your Meta ad accounts, and your store or an events feed that reports new customers. You confirm you are allowed to connect them and to give winful the access it asks for.

Campaigns stay in your own ad accounts, and the ad platforms bill you directly for media spend under their terms. A platform can deliver somewhat above a daily budget on a given day. The machine plans against your monthly budget, but what a platform bills is between you and that platform.

You are responsible for who you invite into your workspace, the roles you give them, and keeping sign-in details and API keys secret.

Pricing and invoices

Your contract sets the price. The standard model is paid on the drop. Your baseline is your CAC over the 90 days before winful. Each month we measure your new CAC. The difference, times the new customers that month, is the drop. We invoice the share of the drop your contract names, 20% unless it says otherwise. If the new CAC is at or above the baseline, the invoice is zero.

The baseline is locked before the first invoice, either measured from your data or taken from numbers we both sign. Every invoice shows the same seven rows: baseline CAC, CAC with winful, the drop per customer, new customers, total drop, what winful invoices and what you keep.

Invoices are due within the payment terms in your contract. Amounts are net of VAT and similar taxes, which are added where the law requires. If an invoice is overdue we send reminders, and after the number of days your contract sets, the machine pauses until it is paid.

If you think a measurement is wrong, tell us within 30 days of the invoice. We go through the source data with you and correct the invoice if the numbers were wrong.

Your customers' videos

The video pages ask each person who films to accept the permission text you approve, and we store that acceptance with the video. You are responsible for that text covering how you use the videos, and for any reward you promise.

When someone asks for their video to be removed, you agree to honor it. A stopped video is taken out of new ads, and the ads that use it are paused. You may not use the videos outside winful in ways the permission does not cover.

The video pages are for people 18 and over. Do not invite anyone younger to film.

Your content and ours

You keep all rights in your brand, products, data and the materials you give us. You allow winful to use them only to run the service for you.

The scripts, cuts, variations and ads the machine makes for you are yours to use, within the permission each person who filmed gave. winful keeps the software, the machine, its methods and anything that is not specific to you.

We may use statistics that identify neither you nor any person, combined across accounts, to improve the machine. We never give your data to another client.

Ads and acceptable use

You are the advertiser. You are responsible for your products, prices and claims being lawful and true, and for your ads meeting the policies of every platform they run on, such as Meta.

You may not use winful to advertise anything illegal, to mislead people, to collect personal data unlawfully, or to get around a platform's rules. You may not copy, resell or reverse engineer winful, overload it, or try to reach data that is not yours.

If a platform rejects an ad or restricts an account, we tell you what it said and what the machine is doing about it. We cannot overrule a platform.

Services run by others

winful works through services run by other companies, such as Meta, Google, Shopify and payment providers. Their terms apply to your use of them. We are not responsible for their outages, their policy changes or their decisions about your accounts.

Confidentiality and personal data

Each of us keeps the other's non-public information confidential and uses it only for our work together. This does not cover information that is public, that the other side already had, or that the law requires us to disclose.

Our privacy policy explains how we handle personal data. Where we process personal data for you, we do it on your instructions, under the data processing terms that form part of your contract.

What we promise, and what we don't

We run the service with care and skill, and we fix what is ours to fix. We promise the incentive, not the miracle: we do not promise that CAC will drop in any given month. When it doesn't, the drop share is zero.

Beyond what these terms and your contract say, winful is provided as it is, without other warranties, to the extent the law allows.

Liability

Neither of us is liable to the other for indirect or consequential losses, lost profits or lost data, to the extent the law allows.

Each side's total liability under these terms is limited to the amounts you paid winful in the 12 months before the event that led to the claim. These limits do not apply to your payment obligations, to breaches of confidentiality, or where the law does not allow a limit.

Claims from others

You will defend winful against claims that come from your products, the claims in your ads, the materials you give us or your breach of these terms, and cover the costs they cause. We will do the same for you against claims that winful itself, as we provide it, infringes someone else's intellectual property.

Pausing, suspension and ending

You can pause the machine at any time. Either of us can end our work together as your contract describes. We can suspend access straight away if an invoice is seriously overdue, if an account puts others at risk, or if the law requires it.

When it ends, the machine stops, the campaigns stay in your ad accounts and we invoice any drop from the last period. For 30 days you can ask us for a copy of your data. After that we delete it as the privacy policy describes, except records the law requires us to keep.

Changes to these terms

We may update these terms. If a change matters to you, we email workspace owners at least 30 days before it applies. The date at the top of this page shows the current version.

Law and disputes

Your contract names the law that governs these terms and the courts that hear disputes. Before either of us goes to court, we try for 30 days to settle the dispute in good faith, in writing.
